DoctorPly – Sales Order Terms & Conditions
1. Corporate Identity and Branding
DoctorPly is registered brand under DKGroup Pte Ltd, the legal and registered entily incorporated in Singapore. All contracts, invoices, and transcations conducted under the DoctorPly brand are legally binding to and enforceable by DKGroup Pte Ltd.
Any reference to “DoctorPly” in this agreement shall be understood as a trade name used by DKGroup Pte Ltd for the supply and sale of wood panel products to B2B customers
2. Prices & Payment Terms
All prices are quoted in Singapore Dollars (SGD) . Unless otherwise agreed under a B2B contract, no deposit is required. All payments must be made in via paid bank transfer, PayNow, and must be paid in full, on a Cash-On-Book (C.O.B.) basis, to DKGroup Pte Ltd as stated in the sales order or invoice.
DoctorPly reserves the right to withhold, delay, or cancel delivery if payment terms are not met. A late interest fee of 1.5% per month may be imposed on overdue payments.
3. Order Confirmation & Modifications
Orders are considered confirmed once full payment has been received, unless under a B2B agreement. Any amendments or cancellations must be submitted in writing within 24 hours of confirmation. Beyond this period, DoctorPly reserves the right to impose an administrative and/or restocking fee of up to 30% of the order value.
4. Lead Time & Delivery Terms
Lead times are indicative and may be affected by stock availability, production schedules, supply chain disruptions, or unforeseen circumstances. While every effort will be made to meet agreed timelines, DoctorPly does not guarantee delivery dates unless specifically committed in writing.
Delivery is strictly limited to warehouse-to-manufacturer loading areas within Singapore. Standard delivery does not include hand-carry, stair access, or difficult site conditions. Additional charges will apply for failed delivery attempts or special handling requirements.
Customers must ensure clear, safe access for unloading at the designated location. Goods not collected within 14 days of readiness may incur storage fees.
5. Inspection & Acceptance
All goods must be inspected upon delivery. Any claims for damage, defects, or quantity discrepancies must be submitted in writing within 24 hours. After this period, the order is deemed accepted in good condition and no further claims will be entertained.
6. Returns & Exchanges
All goods sold are strictly non-refundable and non-exchangeable, particularly custom orders and
cut-to-size plywood. In exceptional cases, returns may be accepted at DoctorPly’s discretion, subject to up to 50% restocking fee. Returned goods must be unused and in original condition.
7. Warranty
DoctorPly provides a limited warranty for a defined period on manufacturing defects applicable to plywood and panel-related materials only. This warranty excludes issues arising from improper installation issuees, misuse, water exposure, modification by third parties, poor storage, or normal wear and tear. All claims must be accompanied by valid proof of purchase and photographic evidence.
8. Ownership & Risk
Ownership of goods remains with DoctorPly until full payment is received. Risk of damage, loss, or theft passes to the buyer upon successful delivery or collection.
9. Limitation of Liability
DoctorPly shall not be liable for any indirect, consequential, or incidental losses, including but not limited to delays in projects, loss of income, or third-party claims resulting from the use or performance of the products.
10. Force Majeure
DoctorPly is not responsible for failure to fulfill obligations due to circumstances beyond its control, including but not limited to natural disasters, pandemics, strikes, transportation disruptions, supply chain disruptions, or regulatory restrictions.
11. Project-Based Orders
For large-scale or project-based orders, clients must submit detailed specifications and a delivery schedule at the time of confirmation. DoctorPly is not liable for project delays caused by inaccurate data or late requests. Progress payments must be made in accordance with agreed credit terms.
12. Trade Account Holders
Approved trade accounts are subject to credit limits and terms as specified in writing. DoctorPly reserves the right to suspend deliveries and place current or future orders on hold in cases of overdue payments or breaches of agreement.
13. Installation Disclaimer
DoctorPly is not liable for third-party workmanship (no need, we only supply materials).
14. Resellers & Distributors
Resellers must comply with DoctorPlys brand representation, pricing guidelines, and ethical conduct standards. Unauthorized branding, misleading claims, or parallel trading may result in termination of reseller privileges. DoctorPly shall not be held responsible for resale transactions or direct dealings with end customers.
15. Product Variation
Natural variations in grain, tone, or texture are inherent characteristics of wood-based materials and are not considered defects.
16. Installation Disclaimer
DoctorPly is not responsible for onsite installation or the workmanship of third-party installers.
17. Communication & Notices
All formal notices, confirmations, or changes must be submitted in writing via email or signed document. Verbal agreements are not considered binding unless confirmed in writing.
18. Data Protection
DoctorPly complies with applicable data protection laws. Customer data collected during the order process will be used solely for order fulfillment, customer service, and internal record-keeping purposes.
19. Indemnity
Customers agree to indemnify and hold harmless DoctorPly, its employees, and affiliates from any third-party claims, damages, or liabilities arising out of the use, resale, or modification of DoctorPly products.
20. Governing Law & Dispute Resolution
These Terms and Conditions shall be governed by the laws of Singapore. Any disputes arising shall be resolved under the exclusive jurisdiction of the Singapore courts.
